Welcome to Paisoo (“we”, “our”, or “us”). By accessing or using our website, marketplace platform, Deal Room, and related services, you agree to be bound by these Terms of Service. Please read them carefully.

1. The Paisoo Platform & Marketplace Scope

Paisoo operates an online venue designed to connect sellers of businesses, digital assets, and franchise opportunities with qualified buyers and investors across Nepal.

• Independent Due Diligence: Users are solely responsible for verifying financial claims, reviewing tax filings, inspecting physical or digital assets, and conducting independent legal and financial due diligence before entering into any binding agreements.
• Transaction Completion: We do not broker, guarantee, custody funds, or complete commercial transactions on behalf of users.

2. Account Registration & KYC Verification

To access certain features—such as listing a business, pitching a venture in the Deal Room, or initiating direct buyer diligence—you must create an account and maintain accurate, up-to-date credentials.

• Identity Integrity: You agree to provide true, accurate, and complete information during registration and identity (KYC) verification.
• Account Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account.
• Verified Seller Status: While KYC badges indicate verified phone and identity documentation, they do not constitute an endorsement, valuation audit, or warranty by Paisoo regarding the financial health of the business.

3. Listing Integrity & User Content

When publishing listings, financial metrics, pitch materials, or confidential documentation on Paisoo, you represent and warrant that:

• You own or have the explicit legal authorization to sell, transfer, or negotiate equity for the business or asset described.
• All stated financial figures (revenue, net profit, asking valuation, inventory) are accurate and not misleading.
• Your listing complies with all applicable commercial and regulatory laws in Nepal, including tax registration (PAN/VAT) and company registrar rules.

4. Non-Disclosure & Confidentiality (NDAs)

Certain documents—including Profit & Loss statements, cap tables, customer metrics, and lease agreements—are classified as confidential and stored in the Paisoo Vault.

Buyers requesting access to confidential materials must sign or acknowledge our electronic Non-Disclosure Agreement (NDA). By acknowledging the NDA, buyers agree to treat diligence information with strict confidentiality and use it solely for evaluating the potential transaction. Paisoo is not liable for the enforcement of these NDAs; sellers must pursue independent legal action if a breach occurs.

5. Non-Circumvention

By utilizing Paisoo to discover investment opportunities or buyers, you agree to conduct communications and initial negotiations through the platform where applicable. Attempting to circumvent Paisoo's messaging or tracking systems to deliberately bypass agreed-upon platform fees (if applicable to premium tiers) is a violation of these terms.

6. Limitation of Liability

To the fullest extent permitted under applicable law, Paisoo, its founders, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from:

• Inaccuracies, errors, or omissions in any user-generated listing or pitch.
• Commercial negotiations, contractual breaches, or failed transactions between platform users.
• Unauthorized access to or alteration of your transmissions or confidential documents.

7. Modifications to the Service & Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated “Last updated” date. Continued use of Paisoo following any changes constitutes acceptance of the new terms.
